1. منح الترخيص

تمنح Europe In Frame المرخَّص له ترخيصًا غير حصري وغير قابل للنقل وساريًا في جميع أنحاء العالم لاستخدام الصورة المرخَّصة لأغراض تجارية، مع مراعاة هذه الشروط.

لا يسري الترخيص إلا على الصورة المحددة في الطلب أو سجل الترخيص ذي الصلة، وعلى الشخص أو المؤسسة المحددة بوصفها المرخَّص له.

2. المدة

يُمنح الترخيص لمدة غير محددة، شريطة الالتزام بهذه الشروط.

3. الاستخدام التجاري المسموح به

يجوز استخدام الصورة المرخَّصة في ما يأتي:
- المواقع الإلكترونية للشركات والمواقع المهنية؛
- المواد التسويقية والترويجية؛
- الحملات الإعلانية الرقمية والمطبوعة؛
- اتصالات الشركات وتقاريرها وعروضها التقديمية؛
- منشورات وسائل التواصل الاجتماعي الخاصة بالأعمال؛
- مواد نقاط البيع والفعاليات؛
- الاتصالات التجارية الأخرى التي تتوافق مع هذه الشروط.

يُسمح بالاستخدام التجاري ضمن نطاق هذا الترخيص.

4. النطاق التجاري القياسي

يسمح هذا الترخيص باستخدام الصورة من جانب المرخَّص له المحدد لأغراض اتصالات أعماله أو مؤسسته الخاصة.

ولا يمنح حقوقًا حصرية، ولا يشمل إعادة بيع الصورة أو إعادة توزيعها بصورة مستقلة أو توزيعها عبر مكتبات الصور الجاهزة أو منح ترخيص من الباطن بشأنها أو استخدامها في بضائع أو منتجات تكون الصورة نفسها مصدر قيمتها الأساسي.

تتطلب الاستخدامات التي تستلزم الحصرية أو التوزيع الموسع أو الاستخدام في البضائع على نطاق واسع أو حقوقًا يُتفاوض بشأنها على نحو منفصل ترخيصًا تجاريًا موسعًا (Extended Commercial) أو ترخيصًا مخصصًا.

5. نسبة العمل إلى صاحبه

لا تُشترط نسبة العمل إلى صاحبه ما لم يُتفق على ذلك بصورة منفصلة.

يمكن أن تكون النسبة الاختيارية بالصيغة الآتية:

6. التعديلات المحدودة

يجوز للمرخَّص له إجراء تعديلات تقنية وتصميمية معقولة يقتضيها استخدام تجاري مسموح به، بما في ذلك تغيير الحجم والاقتصاص والدمج في التصميم والتعديلات المعتادة على الألوان أو التعريض الضوئي.

لا يجوز تغيير الصورة تغييرًا جوهريًا بطريقة خادعة أو تعديلها بحيث تحرّف موضوع الصورة أو سياقها أو معناها.

لا تنقل هذه التعديلات حقوق المؤلف، ولا تنشئ حقوق ملكية في الصورة المرخَّصة.

7. النطاق الجغرافي

يسري الترخيص في جميع أنحاء العالم.

8. إعادة البيع والترخيص من الباطن وإعادة التوزيع

لا يجوز القيام بأي مما يأتي بشأن الصورة المرخَّصة:
- إعادة بيعها كأصل مستقل؛
- منح ترخيص من الباطن بشأنها؛
- نقلها إلى شخص أو مؤسسة أخرى كأصل مرخَّص مستقل؛
- إعادة توزيعها كملف مستقل قابل للتنزيل؛
- رفعها إلى مستودع ملفات عام أو خدمة لمشاركة الملفات؛
- عرضها ضمن مكتبة صور جاهزة أو قالب أو حزمة أصول أو مجموعة صور؛
- إدراجها في بضائع أو منتج آخر تكون الصورة نفسها مصدر قيمته الأساسي.

لا يُعد تقديم الصورة، بالقدر الضروري تقنيًا فقط، إلى مطبعة أو مصمم أو وكالة أو مقدم خدمات إنتاج، يعمل أيٌّ منهم نيابةً عن المرخَّص له لغرض استخدام مسموح به، إعادة توزيع محظورة، شريطة ألا يحصل المتلقي على أي حق مستقل في استخدام الصورة.

9. الذكاء الاصطناعي والتعلم الآلي

لا يجوز استخدام الصورة المرخَّصة لتدريب نموذج للذكاء الاصطناعي أو التعلم الآلي، أو ضبطه الدقيق أو تقييمه أو تطويره، ولا إدراجها ضمن مجموعة بيانات مخصصة لهذه الأغراض، ما لم تمنح Europe In Frame إذنًا كتابيًا منفصلًا بذلك.

10. الملكية وحقوق المؤلف

تبقى حقوق المؤلف وجميع حقوق الملكية في الصورة المرخَّصة لصاحب حقوق المؤلف.

لا يؤدي شراء الصورة أو الحصول على ترخيص بشأنها إلى نقل حقوق المؤلف أو صفة المؤلف أو ملكية العمل الفوتوغرافي الأصلي.

لا يمنح هذا الترخيص إلا حقوق الاستخدام.

11. الاستخدام المحظور

لا يجوز القيام بأي مما يأتي بشأن الصورة المرخَّصة:
- استخدامها على نحو غير قانوني؛
- استخدامها بصورة خادعة أو في سياق مضلل على نحو جوهري؛
- تقديمها على أنها عمل فوتوغرافي أصلي من إبداع المرخَّص له؛
- استخدامها بطريقة توحي زورًا برعاية أو تأييد أو انتماء من جانب Europe In Frame أو المصور أو أي شخص أو مؤسسة تظهر في الصورة؛
- استخدامها خارج نطاق الحقوق التجارية الممنوحة صراحةً بموجب هذا الترخيص.

12. الإنهاء

يجوز لـ Europe In Frame إنهاء هذا الترخيص إذا أخلّ المرخَّص له بهذه الشروط إخلالًا جوهريًا، على أن يكون قد أخفق في معالجة الإخلال خلال مدة معقولة بعد تلقّي إخطار به عندما يكون الإخلال قابلًا للمعالجة.

عند الإنهاء، يجب على المرخَّص له التوقف عن أي استخدام لم يعد مصرحًا به بموجب هذا الترخيص.

لا يؤثر الإنهاء في أي حقوق مقررة بموجب أحكام آمرة أو سبل انتصاف متاحة بموجب القانون الواجب التطبيق.

13. الحقوق المقررة بموجب أحكام آمرة

لا يستبعد أي حكم في هذا الترخيص أي حق أو سبيل انتصاف أو ضمان أو حماية، ولا يقيّد أيًا منها أو يحدّ منه، إذا كان لا يجوز قانونًا استبعاده أو تقييده أو الحدّ منه بموجب القانون الواجب التطبيق.

عندما تتعارض أحكام قانونية آمرة مع شروط هذا الترخيص، تسود الأحكام القانونية الآمرة بقدر ذلك التعارض.

14. إصدار الترخيص

هذه هي شروط الترخيص التجاري القياسي، الإصدار 1.0.

الترخيص المنطبق على عملية شراء هو الإصدار المحدد والمسجل مع الطلب ذي الصلة.

COMMERCIAL STANDARD LICENCE
Version 1.0

1. Licence grant

Europe In Frame grants the licensee a non-exclusive, non-transferable, worldwide licence to use the licensed photograph for commercial purposes, subject to these terms.

The licence applies only to the photograph identified in the relevant order or licence record and to the person or organisation identified as the licensee.

2. Duration

The licence is granted for an indefinite period, subject to compliance with these terms.

3. Permitted commercial use

The licensed photograph may be used in:
- company and professional websites;
- marketing and promotional materials;
- digital and print advertising campaigns;
- corporate communications, reports and presentations;
- business social-media publications;
- point-of-sale and event materials;
- other commercial communications consistent with these terms.

Commercial use is permitted within the scope of this licence.

4. Standard commercial scope

This licence permits use by the identified licensee for its own business or organisational communications.

It does not grant exclusive rights and does not include resale of the photograph, standalone redistribution, stock-library distribution, sublicensing, or use in merchandise or products whose primary value is the photograph itself.

Uses requiring exclusivity, extended distribution, large-scale merchandising or separately negotiated rights require an Extended Commercial or custom licence.

5. Attribution

Attribution is not required unless separately agreed.

6. Limited modifications

The licensee may make reasonable technical and design adjustments required for a permitted commercial use, including resizing, cropping, layout integration and ordinary colour or exposure adjustments.

The photograph may not be materially altered in a deceptive manner or modified so that it misrepresents the subject, context or meaning of the photograph.

Such adjustments do not transfer copyright or create ownership rights in the licensed photograph.

7. Territory

The licence is valid worldwide.

8. Resale, sublicensing and redistribution

The licensed photograph may not be:
- resold as a standalone asset;
- sublicensed;
- transferred to another person or organisation as an independent licensed asset;
- redistributed as a standalone downloadable file;
- uploaded to a public file repository or file-sharing service;
- offered in a stock library, template, asset pack or image collection;
- incorporated into merchandise or another product whose primary value is the photograph itself.

Supplying the photograph only as technically necessary to a printer, designer, agency or production provider acting on behalf of the licensee for a permitted use does not constitute prohibited redistribution, provided that the recipient receives no independent right to use the photograph.

9. Artificial intelligence and machine learning

The licensed photograph may not be used to train, fine-tune, evaluate or develop an artificial intelligence or machine-learning model, or included in a dataset intended for such purposes, unless Europe In Frame grants separate written permission.

10. Ownership and copyright

Copyright and all ownership rights in the licensed photograph remain with the copyright holder.

Purchasing or licensing the photograph does not transfer copyright, authorship or ownership of the underlying photographic work.

This licence grants usage rights only.

11. Prohibited use

The licensed photograph may not be:
- used unlawfully;
- used deceptively or in a materially misleading context;
- represented as the licensee's own original photographic work;
- used in a way that falsely suggests sponsorship, endorsement or affiliation by Europe In Frame, the photographer, or any depicted person or organisation;
- used outside the commercial rights expressly granted by this licence.

12. Termination

Europe In Frame may terminate this licence if the licensee materially breaches these terms and, where the breach is capable of remedy, fails to remedy it within a reasonable period after receiving notice.

Upon termination, the licensee must cease any use that is no longer authorised by this licence.

Termination does not affect any mandatory rights or remedies available under applicable law.

13. Mandatory rights

Nothing in this licence excludes, restricts or limits any right, remedy, guarantee or protection that cannot lawfully be excluded, restricted or limited under applicable law.

Where mandatory law conflicts with these licence terms, the mandatory law prevails to the extent of that conflict.

14. Licence version

These are the Commercial Standard Licence terms, version 1.0.

The licence applicable to a purchase is the version identified and recorded with the relevant order.
